董事会正义论

伦敦—有一个现实危险:公司领袖闭门做出的貌似正确的决定,结果就像是音盲在隔音室作曲。当房门打开、决定公布时,很显然董事会通常与世界经济和社会现实大大脱节。

以高管薪酬为例。董事会薪酬委员会可以拿出复杂的公式为自己开脱,头头是道地论证,但通常他们的决定和常识根本格格不入。

董事会成员需要反思他们在董事会做了什么,在这方面,就个人而言,董事应该以政治哲学家约翰·罗尔斯(John Rawls)在其1971年的专著《正义论》(A Theory of Justice)中所提出的“无知之幕”为指导原则。罗尔斯的无知之幕是作为社会正义原则提出的,任何事先不知道自己在社会中的身份和地位的人都会同意这一原则。
